Ounit Technologies Inc. (“Ounits,” “we,” “us,” or “our”) operates Ounits, a technology platform that people use to coordinate buying, renting, and owning property, alone or together.
Ounits includes:
Exploration: Tools that help you and your group compare candidate properties against your shared budget and criteria, and narrow to a shortlist. Listings you review come from third parties, as Section 4 describes; Ounits is where you evaluate and decide.
Coordination: Centralized communication and guided workflow, co-ownership agreement templates reviewed by licensed professionals for your own legal advisor to review and adapt, and a secure, immutable repository for the legal and financial documents of each deal.
After closing: Tools that help you own property.
Licensed professionals and service providers also use Ounits to offer their services. You choose the ones you work with.
We provide the technology, not professional advice. Ounits is a coordination platform, not an advisory firm. We don’t provide legal, financial, tax, or investment advice. Every professional and vendor you work with is engaged by you directly and is responsible for their own services and advice, and you are responsible for your own and your group’s final decisions and for obtaining the professional reviews appropriate to your circumstances, in consultation with advisors you choose.
What these Terms cover. These Terms of Service (“Terms”) govern your use of the Ounits services (“Services”). The Services include the Ounits website (the “Site”) and Ounits’s software and features, including where they appear on other websites (the “Platform”). When you use the Platform on another website, that website’s own terms may also apply.
Throughout these Terms, we refer to users of the Services as “Users” (or “you”, “your” and similar references). Some services may be offered under a separate agreement with Ounits, made online or in writing. If you agree to one, it takes priority over these Terms for that service.
To access and use Ounits, you must meet the following criteria:
Legal Age of Majority: You must have reached the legal age of majority (the age at which a person is legally an adult) in both the province or territory where you reside and the province or territory where the property transaction is taking place.
Capacity to Contract: You must be legally able to enter into binding contracts. To buy or own property through Ounits, you must also be legally eligible to own property and to hold shares or units in a legal entity in Canada. You may not use the Services where the law does not allow it. You are responsible for making sure your use of the Services is lawful.
Individuals, Entities, and Groups: You may use Ounits to buy, rent, or own property as an individual, on behalf of a company or other legal entity, or as part of a group. Where you use Ounits as part of a group, you represent and warrant that the group has independently decided to buy, rent, or own property together. Ounits does not introduce or match co-owners to one another. We support groups that already exist, whose members came together without Ounits.
Please read these Terms carefully. You accept them when you select “I agree” during sign-up, or when we ask you to. We record your name, the version you accepted, and the date. If you use the Services without an account, these Terms apply to that use. If you do not agree, you may not use the Services.
If the individual accepting these Terms is accepting on behalf of a company or legal entity, such individual represents that they have the authority to bind such entity and its affiliates to these Terms, in which case the term “User” shall refer to such entity and its affiliates. If the individual accepting these Terms does not have such authority, or does not agree with these Terms, such individual must not accept these Terms and may not use the Services.
Your privacy is central to the Ounits experience. Our Privacy Policy at https://www.ounits.ca/legal/privacy explains what personal information we collect, how we use and share it, how long we keep it, and the rights you have over it. It is not part of these Terms.
Real estate services are provided by independent licensed professionals through their respective brokerages, not by Ounits, and are governed by your agreement with them. Ounits provides the technology those professionals and their clients use, does not participate in regulated trading or negotiation activities, and is not responsible for the services they provide. You decide which real estate professional you work with.
Your Relationship with a Brokerage: Your relationship with a real estate brokerage is established separately from these Terms. Representation is established by a written representation agreement between you and the brokerage representing you or your group, such as a buyer or tenant representation agreement, whether you sign it through the Platform or sign it elsewhere and file it here. Ounits is not a party to that agreement.
Regulatory Compliance: Real estate services are regulated in the place where the property is located. The real estate professionals you work with are regulated by the real estate regulator of that province or territory, and the listing data they show you is governed by the rules of the real estate board, association, or other data source that supplies it.
Listing Data: Property listing information may be supplied by third parties, including real estate boards and associations, brokerages, developers, and other data providers, and the sources differ by region. It may be made available through your licensed real estate professional’s own listings website, under the terms of the source that supplies it, which you accept separately before searching, or from other third-party sources, under their own terms. Where listing data is supplied by a third party, Ounits is not its source, does not create or verify it, and the supplying source’s rules continue to govern its display and use.
Brokerage Disclosure: Ounits is not a real estate broker or brokerage, and does not represent anyone in buying, selling, or leasing real estate. Ounits’s fees under these Terms are described in Section 7. They are not a referral fee, a commission, or a share of any real estate transaction, and are not contingent on, or calculated by reference to, any real estate transaction or its completion.
Verified Status: Ounits may check a real estate professional’s registration, and may show that their account was verified and the date of that check. This describes our check on that date only. It is not a promise about the professional’s skill, conduct, or future standing. Ounits does not make any representations, warranties or assurances as to the timeliness, completeness or accuracy of the information provided by any real estate professional, or other real estate or real-property-related service provider on or through the Services.
Trademarks: REALTOR®, REALTORS® and the REALTOR® logo are controlled by The Canadian Real Estate Association (CREA) and identify real estate professionals who are members of CREA. MLS®, Multiple Listing Service® and the associated logos are owned by CREA and identify the quality of services provided by real estate professionals who are members of CREA. Ounit Technologies Inc. is not a member of CREA. Where these marks appear on a listings website operated in the name of a licensed real estate professional and powered by Ounits, they are used under that professional’s or their brokerage’s licence from CREA.
Ontario
Where the property is located in Ontario, the real estate professionals you work with are regulated by the Real Estate Council of Ontario (RECO) under the Trust in Real Estate Services Act, 2002 (TRESA). Listing data made available through an Ontario real estate professional’s listings website is governed by the rules of the real estate board, association, or other data source that supplies it, which may include the Toronto Regional Real Estate Board (TRREB) and PropTx Innovations Inc.
Beyond real estate services, other independent professionals and vendors use Ounits to offer their services. Which ones are on Ounits changes over time.
Templates Are Not Advice: Co-ownership agreement templates made available through the Services have been reviewed by licensed professionals. These templates and similar materials are starting points. They are not legal advice, are not tailored to your circumstances, and must be reviewed and adapted by your own legal advisor before you rely on them. You and your legal advisor may copy and adapt them for use by you and your group.
Separate Fees: Fees charged by a professional or vendor for their services are set by them and payable to them, separately from Ounits’s fees. Professionals and vendors may also pay Ounits for access to and use of the Platform to offer their services, as Section 7 describes.
Independent Liability: Ounits is not responsible or liable for the acts, omissions, services, advice, or work product of any professional or vendor, or for any agreement you enter into with them. Ounits does not promise that any professional or vendor is licensed, qualified, or in good standing.
As a user of the Platform, you play a critical role in the success and integrity of your transaction. By using the Platform, you acknowledge and agree to the following responsibilities:
Group Formation and Vetting: You are responsible for choosing the people in your group. Ounits does not vet them for you. Any check that Ounits or its service providers run, such as identity verification, is not a guarantee or recommendation about anyone.
Independent Professional Consultation: You are responsible for obtaining independent legal, tax, and financial advice tailored to your specific circumstances.
Due Diligence: You are responsible for conducting thorough due diligence on any property you consider. This includes, but is not limited to, professional home inspections, appraisals, and neighborhood research.
Verification of Information: Ounits shows data from third parties, which may include listing data sources. You, together with your real estate professional where you work with one, are responsible for independently verifying all property details, financial figures, and legal descriptions before proceeding with a commitment.
Decision-Making: Ounits provides the framework for group voting and consensus, but all final decisions, including the decision to offer, the selection of a legal structure, and the confirmation of capital, are made solely by you and, where you have one, your group.
Ounits provides the software you and your group use to coordinate; we do not provide recommendations or legal, financial, tax, or investment advice.
What You Pay Ounits
Fee Schedule: You pay the fees shown to you in your account or in an order you accept (“Fee Schedule”). Fees do not include taxes.
What Fees Are For: Each fee you pay Ounits under these Terms is for using the Platform and its features, as the Fee Schedule describes. Each fee:
is owed for what Ounits provides, even if a purchase or lease does not happen or close;
is never charged as part of a closing or of the signing of a lease;
does not change with the price of any property, or with which professional you choose; and
is not a commission, a referral fee, or a share of any real estate transaction.
Billing: You authorize us to charge the payment method in your account when fees are due.
Non-Refundability: Unless otherwise stated in the Fee Schedule or Section 13, or required by law, all fees paid to Ounits are non-refundable.
What Professionals Pay Us
Professionals and vendors on Ounits pay us only for using the Platform. Ounits does not share in what they earn from you, and does not pay or receive any amount tied to your choice of professional, or to the outcome of your matter.
Excluded Costs
Ounits’s fees do not include anything that others charge you, such as brokerage commissions (governed by your representation agreement with the brokerage), fees of lawyers and other professionals, inspections, appraisals, land transfer tax, title insurance, registration fees, and other closing costs.
A. Professionals Are Independent
The real estate professionals, lawyers, and other professionals on Ounits are independent. You choose them, and your own agreement with each one, such as your representation agreement with a brokerage or your agreement with your lawyer, governs their services. Ounits does not supervise or control their services and is not responsible for their work, advice, or conduct. Ounits does not evaluate the merits of any property purchase or suggest specific investment strategies.
B. Information and Verification
Ounits shows information, much of it from others. Except as Section 4 says, Ounits does not verify that information, or vet the people involved for you.
Property Value Estimates: The Services may display property value estimates and related market data. These are automated estimates, the output of an automated valuation model applied to available data, and may be prepared by Ounits or supplied by third-party estimate providers. They are provided for general informational purposes only. They are not appraisals or opinions of value, are not a substitute for a professional appraisal, and must not be relied upon where applicable law requires an appraisal. Ounits does not guarantee the accuracy or completeness of any estimate, or any current or future value or appreciation of any property.
C. Acknowledgment of Risks
Co-owning real estate is a significant undertaking that involves inherent risks. By using the Platform, you acknowledge and accept that:
Interpersonal Risk: Disputes may arise between group members regarding property management, expenses, or exit strategies.
Financial Risk: Property values may fluctuate or decline. Additionally, if a co-owner fails to fulfill their financial obligations (such as mortgage payments or maintenance costs), the remaining group members may be held liable.
Transaction Failure: Real estate transactions may fail to close due to financing issues, inspection results, or other external factors beyond Ounits’s control.
Liquidity and Exit Risk: Unlike stocks or bonds, real estate is an illiquid asset. Selling your interest in a co-owned property may be difficult, time-consuming, or costly depending on your internal group agreements and market conditions.
D. No Warranties
To the extent the law allows, the Site, the Platform, the Content (as defined in Section 12), and the Services are provided “as is” and “as available” (without any promise about their quality or availability), and Ounits gives no warranties, express or implied, including warranties of merchantability (that they are of acceptable quality), fitness for a particular purpose (that they suit your specific needs), title (that Ounits has the right to provide them), and non-infringement (that they do not break anyone else’s rights). We do not promise that they will be uninterrupted or error-free.
To the extent the law allows, information on the Site and the Platform, including analytics, visualizations, and predictions, is provided for general information only and should not be relied upon as accurate, complete, timely or fit for any particular purpose. You should conduct your own due diligence on any information provided to you by Ounits.
Ounits does not warrant or assume responsibility for products or services that third parties offer on or through the Services. Ounits may give more disclaimers in the description of a specific service.
To the maximum extent permitted by applicable law, Ounit Technologies Inc. and its affiliates shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to lost profits, loss of data, or damages arising from:
Group Dynamics: Disputes, defaults, or failures to perform by any member of your group.
Market Conditions: Changes in property values, interest rates, or general real estate market volatility.
Failed Transactions: Ounits shall not be liable for any failure to complete a real estate transaction, including but not limited to failure to close, regardless of the cause. This includes, without limitation, financing conditions not being satisfied, inspection or due diligence issues, title defects, mutual agreement to rescind, default by any party to the transaction, changes in market conditions, or any other circumstance beyond Ounits’s direct control. Ounits does not guarantee the completion of any transaction.
Third-Party Information: Inaccuracies in data provided by third parties, such as real estate professionals, lawyers, or listing data sources.
User Decisions: Any investment, legal, or financial decisions made by you or your group based on information, data, or tools provided through the Platform.
Maximum liability: Our total liability for all claims arising out of or relating to these Terms or the Services is limited to the greater of the fees you paid Ounits in the 12 months before the event that caused the claim, and $100.
Note: This limitation does not apply to cases of fraud, gross negligence (a very serious failure to take care, far beyond ordinary carelessness), or wilful misconduct (deliberate wrongdoing) by Ounits, or where the law does not allow it.
Co-ownership and the creation of legal entities, such as corporations or limited partnerships, involve significant tax implications. Unless you buy a service from Ounits that says otherwise:
Sole Responsibility: You are solely responsible for understanding your tax obligations, filing every tax return the law requires, and paying any taxes due.
Professional Consultation: We strongly recommend consulting a tax professional experienced in Canadian real estate and co-ownership.
Data for Convenience Only: Any tracking tools or financial summaries provided on the Platform are for administrative convenience and do not constitute tax advice or official financial records for filing purposes.
Platform Ownership: The Platform, its software, design, and proprietary workflows are owned by Ounit Technologies Inc. or its licensors.
User Content: You retain ownership of the content you add to the Services, such as messages, information, and documents (“User Content”).
Permission to Use Your Content: You give Ounits a non-exclusive, royalty-free (with no payment to you), worldwide license to host, copy, display, and adapt the format of your User Content, only to operate and improve the Platform and to share it as you direct, such as with your group and the professionals you choose. Our service providers may use this license to help us.
Your Promises: You confirm that you have the right to add your User Content and to give us this license, and that it does not break these Terms or anyone else’s rights.
When This License Ends: This license ends when you delete the content, or 30 days after you close your account (see Section 13, Data Retention). For content that is part of your group’s records, such as messages and documents you shared with your group, and for records we must keep by law, it continues for as long as Ounits keeps them.
Ownership and Trademarks: Other than User Content and data that a real estate board or other data source supplies, the Services, the Site, the Platform, all Content, and any other software used to create and operate the Site are the property of Ounits or its licensors, and are protected by Canadian and international copyright laws. All rights to them are expressly reserved. All trademarks, registered trademarks, product names and company names or logos mentioned on the Services are the property of their respective owners.
In these Terms, “Content” means the content on the Services other than User Content, including all information, data, logos, marks, designs, graphics, documents, recordings, pictures, sound files, other files, and their selection and arrangement. The Content is owned by Ounits or its licensors, except data that a real estate board or other data source supplies, which belongs to that source or its licensors.
Ounits grants to you a revocable, non-exclusive, non-sublicensable license to use the Site, Platform and the Services and to view the Content available to you through the Site (“License”) subject to the License restrictions described herein. Ounits, its affiliates and licensors will strictly enforce their intellectual property rights to the fullest extent permitted by law.
Other than as expressly permitted in these Terms, the License is subject to the following restrictions and account terms:
The Content and Services we provide through the Site and Platform are for your use only. You may not resell, lease or provide them in any other way to anyone else, except as permitted through the Services.
You may not make or distribute copies of the Site, Platform, Services or Content or reproduce, distribute or display the Site, Platform, Services or any Content (except for page caching) except as expressly permitted in these Terms.
You may not modify, reverse engineer, or create derivative works based on the Site, Platform, Services or Content.
You may not use the Site, Platform, Services or Content to develop any application, website or product having the same or similar primary function as the Site, Services or Content.
You may not remove or modify any copyright, trademark or other proprietary notices that have been placed on the Site, Platform, Services and/or Content.
You may not otherwise use the Site, Platform, Services or Content other than for its intended purpose.
You may not use any data mining, robots or similar data gathering or extraction methods.
Your use of the Site, Platform, Services and Content must not infringe or violate the rights of any other party, breach any contract or legal duty to any other parties or violate any applicable law.
Where a licensed real estate professional’s listings website powered by Ounits displays MLS listings under a Virtual Office Website (VOW) or equivalent arrangement, the applicable real estate board and its authorized representatives may access that website to verify compliance with the MLS rules and policies, including the VOW rules, and to monitor the display of listings.
The licenses in this Section are revocable by Ounits at any time.
User Termination: You may close your account at any time by contacting support@ounits.ca, or in any other way we provide.
Platform Termination: We reserve the right to suspend, block, or terminate access for violations of these Terms, fraudulent activity, or conduct that harms other users.
Changes to the Services: We may change, suspend, or discontinue any part of the Site, the Services, or the Content, or limit their use.
If We End Your Access: If we end your access for a reason other than your breach of these Terms, we will refund any fee you paid for anything we have not yet provided.
Effect of Termination: Upon account closure, your access to Ounits’s active coordination tools and the group dashboard will cease. Any outstanding fees remain due and payable.
Survival of Co-Ownership Obligations: The termination of your Ounits account does not dissolve or affect your legal ownership of real estate assets, mortgage obligations, or any co-ownership agreements you have entered into with your group. Your rights and responsibilities as a property owner and your obligations to your co-owners continue independently of your use of the Platform.
Data Retention: For 30 days after your account closes, you can download your documents. After that, we keep records as the law requires and as our Privacy Policy describes.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. If you are a consumer (an individual using Ounits for personal, family, or household purposes, not for business), this does not take away any protection that the consumer protection laws of the province where you live give you.
Talk to Us First: If a dispute arises out of or relates to these Terms or the Services, please write to support@ounits.ca first, and we will try to resolve it with you in good faith within 30 days. Either of us may ask a court for urgent relief at any time.
Courts: A dispute may be taken only to the courts of Ontario. If you are a consumer, you may also bring it in the courts of the province where you live. We may also bring a claim against a consumer in the courts of the province where they live.
Time Limit: Any limitation period (the time the law allows to start a claim) stops running from the day either of us gives the other written notice of the dispute until 30 days after that notice. This extends the limitation period by that time.
Users can browse the Site without registering for an account. However, to use other parts of the Services, users must register for a user account (“User Account”).
Upon the registration or use of a User Account, you agree to (a) provide accurate, current and complete information as may be prompted by any registration forms on the Site or the Platform (“Registration Data”); (b) maintain the security of your password; (c) maintain and promptly update the Registration Data, and any other information you provide to the Site or Platform, and to keep it accurate, current and complete; and (d) tell us right away if you think someone has used your User Account without permission. Ounits may ask you to renew your password periodically in order to maintain access to the Platform. You are responsible for all activity on your User Account. Do not share your User Account or let anyone else use it.
Changes to These Terms: We may change these Terms. If you have a User Account, we will give you at least 30 days’ notice before a new version takes effect. When it takes effect, we will ask you to accept it before you continue to use the Services. If you do not agree, you may close your account. A change does not affect fees you paid before it, or a dispute that either of us gave notice of before it. Changes that a law, a regulator, or a real estate board or other data source requires may take effect sooner. We will tell you as soon as we can, and we will still ask you to accept them.
Assignment: You may not transfer or assign your rights under these Terms to any other party. Ounits may assign its rights and obligations to an affiliate or a successor in interest in the event of a corporate reorganization or sale.
Entire Agreement: These Terms, with the Fee Schedule and any separate agreement for an additional service, are the entire agreement between you and Ounits about the Services. They replace any earlier discussions or agreements about them.
Severability: If any provision of these Terms shall be deemed unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.
Your Rights Under the Law: Nothing in these Terms limits a right or remedy that the law gives you and that an agreement cannot take away.
Language: These Terms are written in English.
No Partnership: The word “Partner” in these Terms, as in “Partner Professionals” and “Partner Inquiries”, describes a commercial relationship only. Nothing in these Terms creates a partnership, joint venture, agency, employment, or fiduciary relationship between you and Ounits, or between Ounits and any professional or vendor, and no party has authority to bind another.
Brand Reference: “Ounits” refers to Ounit Technologies Inc. and the platform it operates, as the context requires.
Inaccuracies: The Site, Platform, and/or Services may contain typographical errors or inaccuracies and may not be complete or current. Ounits reserves the right to correct any errors, inaccuracies or omissions and to change or update information at any time without prior notice.
Communications: We may give you notices by email or text message to the contact details in your Registration Data, by a notice in your User Account or on the Site or the Platform, or in any other electronic way we make available. Please keep your contact details up to date and check for notices from time to time. A notice we send to the contact details in your account counts as given when we send it. You may send notices to us at support@ounits.ca.
